Neues Jahr, neues Glück As many of you gear up to attend the annual milestone of Paperworld in Frankfurt, 2011 is already fading into a distant memory. In this first European Office Products Annual Review we will take you back over the past year’s major developments, and provide some thought on what we might expect in the coming 12 months. Take Unipapel’s successful acquisition of Spicers, for example, and the subsequent spin-off of the UK & Ireland business: what will this mean for the rest of the industry (see ‘Spicing things up’ on page 22)? But while January rushes by, most of us are still being hotly pursued by last year’s chaos – the ongoing eurozone debt crisis, rising unemployment rates and global credit jams. As one journalist recently wrote on guardian.co.uk, “can we find a glass half full of something vaguely cheering, or are we staring at the dregs in the new year?” I would argue that there is always a bright side, however hard it might be to focus upon. Many reports highlighted how European markets opened on 3 January slightly up, and while the crisis is far from over – some areas are likely to get worse – it does bring opportunities such as those highlighted in the last issue of OPI (see ‘Europe on its head’ in OPI #215). If you are reading this publication in the halls of Messe Frankfurt, or perhaps on the train or aeroplane while you make your way there, consider all the new product innovations you might discover or business partnerships you could create during the show. The subject of this publication’s Big Interview, Richard Scharmann of PBS Holding, (turn to page 12) speaks of mergers and acquisitions across Europe; surely this subject opens up possibilities for some? Remaining cheerful, the annual European Office Products Awards (EOPA) (turn to page 30 for the shortlist) certainly provide space for celebration, and highlight people, products and businesses as shining examples of good practice. Lyreco began the year in acquisition mode, completing the deal for Antalis’ Spanish and Portuguese reseller operations, acquiring Staples’ strategic partner in Switzerland Waser Bürocenter and then agreeing to pay 169 million for Unipapel’s stake in Ofiservice in Spain. Not to be left out, Office Depot strengthened its presence in Sweden with the acquisition of leading local reseller Svanströms. Tombow announced that edding’s Udo Peters would be its new European Managing Director, while HSM named Angelika Lange as its new Head of Marketing.

February Former Viking and Corporate Express executive Peter Damman was named as the new group CEO of Spicers, taking on the role vacated by George Adams who resigned in September 2010. Meanwhile, the wholesaler’s German Managing Director Thomas Apelrath told OPI that it was planning to launch an e-commerce site that would sell only Spicers’ 5-Star brand of products. European IT distributor ACI Adam rebranded to ACI Supplies.

Interaction’s Italian member Karnak celebrated its 50th anniversary at its national convention. More than 350 guests attended the annual European Office Products Awards (EOPA) in Frankfurt during the Paperworld trade show at the end of the month. There were a couple of major surprises with Amazon and Apple amongst the winners. On a sad note, the industry mourned three losses: Zebra’s Martin Notley, VOW’s Malcolm Preece and Fellowes’ Tyron Hill. Office Depot restructured its operations in Belgium, transferring a number of jobs to the Netherlands. Well-known Italian OP figure Stefano di Veroli was placed under house arrest in Rome following an investigation into an outsourcing consultant formerly used by his C’ART stationery business. He was allowed to return to work in May. French B2B office supplier Fiducial Office Solutions said that like-for-like sales growth of 1.8% to just over 1231 million for the 12 months to 30 September 2010 was good given the morose state of the local market. process outsourcing, although underlying profit was down over 14%.

April Consumer electronics retailer Dixons confirmed plans to cease operation of its struggling PC City business in Spain with the closure of all 34 stores. Irish book and stationery chain Easons said it would cut jobs as part of an 18 million cost reduction programme, but also announced a strategic plan to invest 120 million by 2012. 2011 EOPA award winner Soft-Carrier relaunched its online ‘SchulShop’ aimed at the back-to-school season, while Bruno Peyroles, the CEO of 2009 winner Bureau Vallée, accused OEM manufacturers of anti-environmental practices.

Noteworthy vendor annual results included those of tesa, which reported record 2010 sales of 1882 million and EBIT margin of 11.3%, and Herma, where sales rose almost 16% to 1229 million. Paper manufacturer Portucel announced market-beating quarterly results, a trend that continued for the rest of the year. 25,000 visitors attended the 17th annual Stationery & Office Show in Istanbul, Turkey, a 10% increase on the previous year, while exhibitor numbers increased to 210.

June In Sweden, leading dealer group RKV announced its intention to join the Nordic Office Alliance (NAO) from January 2012, a move made possible following Office Depot’s acquisition of Svanströms. With members in eight countries, NOA has a combined total turnover of 1450 million within the contract stationery channel. Vasanta, parent company of UK wholesaler VOW, announced an important change to the go-to-market strategy of its Supplies Team business, saying that Supplies Team would pull out of its direct business to the mid-market sector in order to focus purely on corporate and public sector customers. It was a move welcomed by the UK independent dealer channel.

In Germany, leading dealer group Soennecken said that first quarter sales growth of over 13% had exceeded its own targets. Finland-based Wulff saw net sales in the quarter rise by almost 17% thanks mainly to its Swedish operations, and Greece reseller Plaisio saw a sharp increase in net profit despite a drop of over 18% in sales.

July The year’s main European story broke in July when Unipapel made an offer to acquire Spicers for £200 million. The deal would involve Unipapel acquiring the whole of Spicers from DS Smith and then spinning off the UK & Ireland operations to private equity firm Better Capital for around £32 million. It emerged that former o2o CEO Ray Peck had played an instrumental role in bringing Better Capital to the table.

Spicers in the UK also announced plans to introduce a last-mile delivery solution for dealers called Germany-based brand owners’ initiative Office Gold Club named edding’s International Marketing VP Nicola Perl as new Chairwoman, succeeding long-standing Chairman Thomas Heine of Esselte. ACCO promoted Liz Moseley to head its EMEA sales operations, responsible for all ACCO’s office products sales in the UK, Ireland, continental Europe, the Middle East and Africa. In France, Office Depot opened its first large format superstore in the country in six years after several years focusing new store openings on its City format in Paris.

August A major surprise this month was the sudden departure of Lyreco CEO Philippe Martinez after less than eight months in the job. 20-year company stalwart Steve Law was installed as CEO on an interim basis and iconic former CEO Eric Bigeard took on a co-Chairman role as the hunt for a new permanent CEO began. A few days earlier, Lyreco Germany’s highly respected Managing Director Eugène Sterken had announced he would be leaving the company.

In France, Fiducial was still feeling the pressure of aggressive price competition as its like-for-like first quarter sales fell by almost 3%. The future of recycled paper brand Evolve was thrown into doubt when paper manufacturer M-real said it planned to sell off its Alizay mill in France and that it would close down the mill if a buyer was not found by the end of September. Hungarian wholesaler Corwell told OPI it was planning a move into a number of neighbouring markets with its Victoria private label brand.

Spring. Starting with the London market, the wholesaler said that the plan was for around 30 local hubs in major urban areas across the UK. There was more major news from the UK after online supplier Euroffice bought £6 million rival UK Office Direct, Euroffice’s first acquisition since 2010’s management buyout led by Simon Drakeford. Media-Saturn, the consumer electronics division of German retail powerhouse Metro, announced 1500 million in cost savings, including 3,000 job losses, after sliding to a 144 million loss in the second quarter. A month earlier, Media-Saturn had finalised the sell-off of its 35 French stores.

Lyreco’s UK operation also received a blow when it was announced that a new £150 million government contract – the largest ever in the UK – had been awarded to rival supplier Banner, part of the o2o group. Turkish reseller Akoffice continued its impressive growth trajectory. The 2011 EOPA Regional Reseller of the Year announced a 15% increase in sales for the first half of the year. Leading German dealer group Soennecken was buoyed by the news that one of its largest members, 1100 million dealer Plate, was to remain with the group. Plate had earlier said that it would leave.



September German envelope manufacturer Mayer-Kuvert acquired its troubled French rival GPV. GPV had gone into administration at the end of May and two offers had been made for the firm, one from Mayer-Kuvert and the other from Spanish manufacturer Tompla. A French commercial tribunal decided in favour of the Mayer-Kuvert offer which promised to maintain 358 employees out of GPV’s total workforce of 586.

October Despite a number of interested buyers – including Double A – M-real said it would close the Alizay paper mill in France. BPGI received a boost with the news that fast-growing Russian reseller group ARD would join its ranks from the beginning of 2012. Formed at the beginning of 2009 ARD – Alliance of Russian Distributors – already has 17 members with total sales of over 1300 million.

Former Guilbert UK Managing Director Bart Rentmeesters took over from Gérard Martin as Managing Director of France’s Fiducial Office Solutions. Martin moved to a role on the Fiducial group board.

Revenue in Germany fell by over 11% in the first half of the year due to a general weakness in sales of printer consumables and the company’s decision to end distribution of OEM and private label supplies. Italian stationery and OP chain Buffetti signed a supply agreement with leading local IT distributor CDC. The deal gave Buffetti’s 750 stores access to CDC’s range of hardware and software products.

Pelikan announced it would restructure operations in its largest market, Germany, as it continued to experience declining sales.

November Leading Romanian reseller RTC Proffice Experience was taken over by Swedish investment fund Oresa after previous owner RTC ran into cash flow problems. Outgoing EOSA CEO Peter Basci was involved in the negotiations and is now a member of Proffice’s strategic board. Basci, in fact, had announced that he would step down as EOSA CEO, with Philip Becker, CEO of the alliance’s Dutch member Hedera, succeeding him at the beginning of 2012.

Austria-based wholesaler and reseller PBS Holding acquired 11.7 million Slovakian contract stationer Kanex. The business will be integrated into PBS’s existing Büroprofi B2B business in the country. Visual communications products manufacturer Bi-silque expanded its European sales team. The company made three appointments to strengthen its account management team in the main European markets and also tweaked its sales structure to create a specific role for the European retail channel. There was optimism at the Big Buyer show in Italy despite worries about the country’s debt burden and new austerity measures.

December There were concerns that Unipapel’s acquisition of Spicers could be delayed after the EU Commission put back its deadline for approval of the deal until 20 December. However, the takeover was approved on the 20th and closed ten days later, with the UK & Ireland business immediately spun off to private equity firm Better Capital. Apart from that major development, it was generally a quiet month on the news front in Europe during December. It was disclosed that France-based aftermarket imaging supplies vendor MBP had entered administration after running into cash flow problems. Staying in France, the country’s leading office supplies franchise chain Bureau Vallée said it would be upping efforts to strengthen its presence in town centres across the country with an increase in smaller format stores. Pelikan announced it had agreed to offload its stake in Australian subsidiary Columbia Pelikan to focus on core assets. Troubled paper merchant PaperlinX – which has the majority of its operations in Europe – revealed that it had received a buyout offer from a private equity firm, valuing the business at around 144 million.

Tough times Richard Scharmann looks back on another difficult year for European OP resellers. Is there light at the end of the tunnel in the year ahead?

R

ichard Scharmann has his irons in so many fires that he’s superbly placed to give OPI an overview of the European OP scene. Having been in the driving seat at multi-channel operator PBS Holding since 2008, his years as CEO have been dominated by challenges, first and foremost perhaps economically speaking, but also due to the sheer scale of integration work that he inherited from predecessor Anton Stahrlinger. And while the German market with its many wholesale acquisitions – and said integration efforts – no doubt caused the biggest headaches, Scharmann has always kept his eyes closely focused on Central Europe. This region, he says, represents the biggest opportunities in a currently stagnant, if not declining, OP market. OPI: The beginning of a new year seems an opportune time to glance back over the past 12 months and also take a look at what the future might bring. Let’s start with last year, which had ‘eurozone crisis’ written all over it. What’s the takeaway for OP in general and PBS Holding in particular? Richard Scharmann: In a nutshell, 2011 was more difficult than expected. At PBS Holding we thought we could leave the crisis of 2010 behind us, but we were wrong. It was even more difficult last year to maintain our margins, especially due to high raw material costs, and it was very difficult to pass on those prices to our end-customers. We had to work much harder than expected to achieve our budget in 2011. We also didn’t see significant developments in any of the markets we operate in as a result of reduced sales. The only thing we could really do is be better than our competitors – that was the only chance of getting some positive results. OPI: That sounds quite bleak. Who has been faring the best/worst in your opinion? RS: Well, the globals certainly weren’t among the ones doing well. They’ve been focused on their internal problems and we have seen poor performances from them in the Central

European markets where we compete in a head-to-head situation. Right now, in fact, it’s interesting to see some mid-sized companies doing well – it’s those companies that have been the most effective. They are flexible, professional, and know how to deal with customers and be able to keep a close eye on margins. OPI: Let’s talk specifics. What’s your take on Staples’, Depot’s and Lyreco’s performances in your geographical area? RS: Office Depot has been performing poorly in Eastern Europe and it doesn’t seem to be getting any better. Staples, meanwhile, is not as aggressive as Depot, especially in the Eastern countries; they just focus on their existing business and run it professionally. Lyreco simply sticks to its concept – keep on doing the things it is used to in its markets and in the long run this will achieve results. About four years ago Lyreco opened up a logistics facility in Bratislava, Slovakia, in order to serve Austria, Slovakia, the Czech Republic and Hungary. Going for four markets in one go is an aggressive approach, but their current revenues are not a phenomenal achievement in that time. OPI: What are the key issues for everyone now? RS: It goes back to the economy. Focus point one is to manage margins and profits. The market is not growing, raw materials and costs are rising, so you have to manage your margins and that is very difficult in a stagnating environment. Secondly, you have to create a very successful online business in line with perfect customer relationship management. OPI: How are the members of wholesale alliance Interaction doing amidst all the troubles, especially in countries such as Greece and Spain? RS: It’s an interesting point, because the figures we have are very positive. Especially our partners in Spain and Greece – Comercial del Sur and Plaisio – have been performing well with Interaction’s Q-Connect business and are increasing their profits. Yes, there is an overall stagnation in sales because the market is down – about 3-4% in Spain and 6% in


European Office Products Annual Review | Big interview Greece – but they are still growing Q-Connect because in times of crisis there is more focus on price-aggressive products. OPI: But Plaisio isn’t doing so well, is it? They’ve had to close some stores I believe. RS: They have a lot of things to sort out right now, correct, but part of it is also to do with the fact that a lot of business is shifting online. That’s particularly important for electronics products – Plaisio’s stronghold. OPI: That brings me to retail in general, not a good place to be right now. RS: No, it isn’t and overall the outlook for OP retailing is not good. There’s just no growth there, especially in markets like Germany and Austria where costs are still rising and the unions demand salary rises for employees. Specialist retailers are sporadically having a good quarter, but then it’s back down again.

RS: Our retail sales are flat at the moment. We currently have 70 stores in Austria as part of the franchise concept and five that we own ourselves. In Germany we have close to 50 stores from our franchisees right now. We’re slowly starting to grow again in terms of sales, but I would still describe it as close to a flat environment. Skribo is part of our wholesale business – about 33% of wholesaling at PBS Holding is done on the B2C side. OPI: Do you have ambitions to increase the Skribo business in Germany and Austria or is that not a priority at the moment? RS: Certainly in Germany it’s a priority and we’re aiming to develop the franchise space there significantly over the next two to three years. There’s one particular regional project we’ve been running this year and that’s to build up a Skribo base in Bavaria, with the target of having 50 franchise partners there over time. At the end of 2011, 35 contracts had been signed. This could be a very successful initiative for us, as we expand the concept from region to region. OPI: What about the other segments of PBS Holding – how have they been holding up? www.opi.net/EuropeanAnnualReview2012

The contract B2B business has been growing significantly and above average in those markets where we are active, such as Austria, Czech Republic, Hungary and Slovakia. We’ve been growing in those countries between 6-12%. Broken down, that’s 12% in Hungary, 10% in Austria, 7% in the Czech Republic and 6% in Slovakia. Most of this growth is linked to being able to develop our key accounts. On the other hand, we also didn’t lose any business and even took some share off our competitors. OPI: So customer retention has been key? RS: Yes, definitely. At times when you have to take great care of your margins, it’s even more important to maintain your current customer base rather than look for new adventures. OPI: Is any of this growth due to acquisitions? RS: No, it’s all organic growth. The second part, the wholesale business, meanwhile was quite flat with growth of only 2-3% in Austria and Germany. That’s stagnating sales in my view, as we had price increases of about 3%. OPI: What were your overall sales in 2011 and also your overall growth? RS: We now turn over about 1215 million ($282 million) and our overall sales growth in 2011 was about 5%. The business is roughly split into 55% wholesale and 45% contract. Retail as such is negligible as we only own five stores and the franchise business falls under the wholesale segment in terms of revenue.

RS: It will be interesting indeed. The set-up of Unipapel is quite challenging, partially because the company has grown from a very small, local business to a pan-European giant in a short time. With Spicers, they will be five times as big as they were just three years ago. More importantly perhaps, they are combining traditional office products with EOS and we’ve seen some examples before of how that doesn’t always work. When Kingfield Heath and ISA came together back in 2007, they had a tough time and it didn’t result in the big boom they had anticipated. From a PBS Holding perspective, EOS accounts for 30% of our overall volume and is very important to us. Over the past five years we have twice evaluated EOS businesses that were for sale and in both situations we didn’t go through with it. Margins and profit in EOS are so small that you have to be very focused to run a business successfully. It’s even more difficult when you match this business with a comprehensive OP wholesale organisation. If you lose focus and just drop half a percent of profit you are out of the market and lose quite substantial amounts of money. It’s difficult to handle both EOS and traditional OP efficiently and it will be interesting to see how Unipapel really puts those two business segments together on a European scale. OPI: What’s the solution? RS: There is no proof of concept that can be seen in the market. The question really is: where are the synergies for Unipapel getting Spicers? They have invested in this acquisition and now they need to get their money back, but where does it come from? In Germany at least, it will definitely not come from a growing market, so it has to come from the synergies that linking the two businesses bring. OPI: And I guess you may benefit from the inevitable disruption that this coming together brings?

OPI: What about profit margins? RS: Margins are still quite good – between 3-5% in both the contract and wholesale business. OPI: Wholesaling is an interesting place to be at the moment, especially given what’s happening at Unipapel and Spicers. What’s your view from a European perspective? www.opi.net/EuropeanAnnualReview2012

RS: I’m not sure about that. The disruption will only take place if they’re truly integrating the two businesses and changing aspects of the service structure – that’s when they are most likely to take their eyes off the customer. If it’s just a case of negotiating better prices, there’s little we can gain from it. OPI: What are your plans for the German market where wholesaling has become so important to you? You’ve recently announced some logistics changes… RS: Yes, PBS Deutschland and Alka will be fully integrated sometime in 2012 – we’re in the process of completing the logistics integration into two facilities in Hanover and south of Berlin, so our entire infrastructure will be consolidated in those two places. From there, we will serve both channels; PBS Deutschland has the full assortment for retailers while Alka caters for commercial customers. Both companies will use the infrastructure as they need it; it won’t be tied to any specific market concepts and channel programmes anymore. We’ve spent about 17 million to upscale the business which will give us a wholesale concept offering more than 35,000 SKUs with a comprehensive service and a tool set that is different to, say, Spicers and soft-carrier. OPI: Any more acquisitions on the horizon from a wholesale perspective? RS: Not on the same scale. We’ve had seven acquisitions in Germany and close to doubled our sales with them, but when you’re doing this kind of thing for a company of our size, it puts a real drain on management resources. We would only do it again if it’s a wonderful opportunity with plenty of benefits – and I cannot see any candidates that would fit the bill right now. OPI: So are acquisitions ruled out per se? RS: No, they’re not. We would certainly acquire smaller companies in the 120-25 million bracket, because that’s what we can manage quite easily. As you know, we’ve recently bought Kanex in Slovakia which eventually will fall under our Büroprofi operations. Kanex is a 12 million contract stationer and is an acquisition that very much forms part of our controlled business development. In these difficult times, we’re looking very closely at our balance sheets and profit/loss figures. Smaller acquisitions are much easier to control and also to integrate. Companies like Kanex are also ideal for us, because they would typically be too small for the globals – the whole integration issue versus the amount of sales you can expect make them unappealing to the big boxes. For us, meanwhile, it’s ideal – we

“The question really is: where are the synergies for Unipapel getting Spicers?” can handle the integration, the price tag is attractive and there is not too much risk linked with that kind of acquisition because even if you fail it won’t kill you. So that’s basically our approach for new markets or those where we want to expand. These types of micro acquisitions allow you to enlarge your foothold in a market in a fairly controlled fashion. We also always aim to break even within 18 months of purchase, which is possible for that kind of transaction. OPI: Are you concentrating on the contract business for any potential acquisitions? RS: Not necessarily. We’re looking at any options, so if there is an opportunity in contract in Hungary, we will try to manage it; if there is an opportunity to acquire an old-fashioned wholesale business in Germany, we will take a look at that. OPI: How does geography factor into that? RS: We have two approaches. Basically, it’s the central European region that is the most interesting for us. We still see room to grow there, even in Hungary where we’re already number one in the market. We recently talked about potential acquisitions in Romania, we’re in discussions with companies in Croatia, and we’re having a close look right now at Poland. That said, there will also be consolidation among the many smaller players on the German wholesale side, but this will take longer, because existing structures change very slowly in Germany. OPI: Acquisition equals consolidation – where will it happen? RS: There definitely will be consolidation in the German wholesale market, because there are far too many small players around – as many as 60 some guess – and many of them aren’t making any money. But I wouldn’t foresee a merger between any of the big players in the next few years. I don’t see a lot of aggressive movement on the contract side. All the globals are busy managing their existing businesses and are not really focusing on the growing markets in Eastern Europe. Maybe there’ll be some activity in already existing markets for the globals where they’ve already built up their bases.

taples’ like-for-like drop in European retail for the third quarter 2011 says a lot about overall reseller performances in Europe. It’s not been easy, for anyone, and before talking about channel developments it makes more sense to talk about channel challenges. Delving further into Staples’ Q3 2011 report, we find gloomy messages. While International President Mike Miles didn’t give specifics about plans to turn around European retail, he did speak about the 7% G&A headcount reduction that had already been carried out, and that more reductions would be made. On a slightly more positive note, Miles reiterated Staples’ long-term commitment to the European retail channel, which he described as profitable (except for Belgium). Turning to the other big players of Europe, we can find similar struggles. Lyreco has had a tough year in many respects, not least because of the sudden departure of CEO Philippe Martinez after only eight months in the role. The search is on for a new CEO, though the company has other challenges to contend with at

the same time. Lyreco has laid off a number of staff in the UK as the loss of the Procurement Scotland and HMRC contracts have contributed to a big hit to the top-line. Part of Lyreco’s recent competition can be attributed to office2office’s (o2o) Banner Business Solutions. In what o2o CEO Simon Moate described as a “landmark deal”, in August Banner was awarded the largest ever UK government office supplies contract, worth almost £150 million over four years. Banner has had growing success with public sector contracts and its Closed Loop initiative helped it to cement strong relationships with central government departments, notably with HMRC, its former customer that had switched to Lyreco.

However, government spending cuts have had an effect on o2o despite the win, with full-year trading expected to be below expectations. Turning to the other major pan-European player, Office Depot has had its fair share of strife. The reseller’s International sales fell by 7% in local currencies for the third quarter of 2011, while operating profit was down $11 million compared to the same quarter 2010. $4 million of this was due to restructuring costs, and Depot said there would be further changes – perhaps these could be along the lines of the restructuring that took place in its Benelux region over the course of the last 12 months. There have also been issues surrounding Depot’s rebrand of Viking, namely with the implementation of the new web platform, although it is understood that these problems are close to finally being solved.

In a bid to prop up business, many resellers, including the big players, are choosing to develop a multi-channel strategy. There are now far more paths a customer can take to order a product, and with each customer having a preferred method (or using more than one channel, depending on circumstances) resellers are choosing to provide all options.




European Office Products Annual Review | Channel developments One example is Office Depot in France, where the big box has developed its only true multi-channel strategy outside the US, comprising contract, retail, internet and mail order. Most of its sales come through the Business Solutions Division (BSD), with retail the next largest channel. Depot has ploughed investment into BSD with a recruitment drive, bringing up its number of sales reps. Two other Depot developments are worth noting. Firstly, the increasing number of City Depot outlets in Paris, a smaller store format designed to attract small business customers. There are now 28 of these stores in Paris, and they have been so successful that there is some speculation that they may be rolled out in the US retail division. Secondly, in a further bid to increase market share in Europe, in 2011 Depot selected Xerox as its pan-European managed print partner, becoming the first big player to step into the managed print services (MPS) arena. The challenge for any reseller developing a multi-channel strategy is, of course, that no player has the number of retail outlets across Europe that this requires. While Depot has had some success with this strategy in France – the company says it is gaining customers in the French market, which has been essentially flat this year – the breadth of outlets for all the major players is limited. As previously mentioned, Staples’ stores may well be decreasing in number. As a result, resellers are developing other tactics to gain market share in this tricky environment, such as Depot’s MPS leap. Some larger players are showing signs of trying to move into the independent dealers’ territory. For example, an independent dealer in the UK recently told OPI that he had seen Staples

sales people knocking on the doors of customers in his local area, which he had never seen before. Depot has also taken on outside sales reps for Viking for the first time. In December, Staples appointed consultancy firm Immediate Future to develop its pan-European social media strategy, which covers 15 markets. This certainly flags Staples’ interest in reaching customers in new ways, emphasised by Staples’ Ruth Coates. She said: “We recognise that social media changes the way that our consumers shop.”

Resellers great and small

Big players aside, there were some other notable movements in the channel throughout Europe. As well as Banner’s significant government contract win, o2o teamed up with Advantia to create a new go-to-market strategy that could create waves in the channel once it gets going in 2012. O2o’s new Truline business will

This new ‘third wholesaler’ could make 2012 an interesting one in the UK, added to the establishment of an independent Spicers UK & Ireland. In France, it’s not only Office Depot that is implementing a new store format. Bureau Vallée stores have been popping up all over the country, and the franchiser recently announced a new town centre push. Bureau Vallée has around 180 stores throughout France, most of which are 600 sq m (60,000 sq ft) outlets located in retail parks, but the new stores in small to mid-sized towns are much smaller at 100-300 sq m. Bureau Vallée’s move is likely to be targeting existing members of rival franchise operations such as Spicers’ Plein Ciel and Calipage banners, Majuscule and

OTTO Office has embraced social media Buro+. The price war that exists in France between contract stationers and other resellers might well intensify during the coming year. The establishment of new web stores, such as that of Office 1, also progressed during 2011 as businesses tune into the overwhelming growth in internet retail. Staples isn’t the only reseller to focus on social media, with companies such as OTTO Office launching social media drives. Overall, it’s been an extremely tough time for resellers as most European markets continue to face economic challenges and prospects for improved employment rates remain grim. Southern European countries are faring worse overall, which is understandable given the current eurozone crisis (see ‘Europe on its head’ in the December 2011/ January 2012 issue of OPI). Results in Scandinavia have been much higher – although Staples’ International Q3 results were poor, the 21 stores in Norway showed positive comps. Resellers such as the Wulff Group have also performed well, and the north/south European success split may well become more pronounced during the coming year. As European governments continue to do battle with the sovereign debt issues that are threatening the very existence of the euro, the market looks set to remain challenging – at best – for 2012. To what extent this will lead to a shake-up in the reseller channel remains to be seen, but it would not be a big surprise to see significant strategic shifts, further consolidation, or one or two major casualties over the next 12 months.

Spicing things up Unipapel’s acquisition of Spicers creates Europe’s largest OP and EOS wholesaler

he major story from Europe in 2011 was undoubtedly the July announcement by Spanish manufacturer and distributor Unipapel that it was to acquire leading wholesaler Spicers from UK packaging group DS Smith. DS Smith had said in December 2010 that Spicers was not a core business as it focused on becoming a leading player in the European recycled packaging market. At the same time, Unipapel was in the process of selling off its stake in the Ofiservice B2B operations in Spain to Lyreco for around 169 million. That deal netted Unipapel a capital gain of about 154 million, meaning the company would face a hefty tax bill unless the proceeds were re-invested in acquisitions within a three-year period. In March (2011), Unipapel CEO Millán Álvarez-Miranda commented that he viewed Unipapel as a consolidator in the European office products wholesaling channel, raising speculation that the company had its eye on the

The only sticking point from the Unipapel perspective was Spicers’ UK & Ireland operations which did not fall into its continental European development strategy. Enter former office2office CEO Ray Peck who himself had been interested in putting a deal together to acquire the whole of the Spicers business. When this proved unfeasible, he was drawn to Unipapel and wheels were set in motion to spin off the UK & Ireland. OPI understands that finding the financial backing for the UK & Ireland spin-off was a bit of a bumpy ride with the final acquirer – private equity firm Better Capital – not coming to the table until the eleventh hour after due diligence had already been completed. Peck will take a non-executive role on the new Spicers UK & Ireland board and the business will be headed by current Managing Director Alan Ball. The final agreement saw Unipapel acquire the entire Spicers business for a total of £200 million (1238 million), some £50 million more than analysts had been suggesting when Spicers was put up for sale. However, the Spanish firm immediately recouped £32 million of that following the UK & Ireland spin-off to Better Capital, leaving it with an acquisition price of £168 million, approximately 1200 million at current exchange rates. Unipapel is funding the deal through a combination of its own cash reserves and a 1145 million syndicated loan involving a number of banks. It was suggested in July that the acquisition could have been completed as early as the end of September with European works council issues being quickly negotiated, but European Union competition authorities also had to approve the acquisition, pushing the final date into December. In fact, there was a slight hiccup at the end of November when the EU Commission extended the provisional deadline for their approval from 6 to 20 December. This deadline extension came after Unipapel submitted commitments (EU speak for ‘concessions’, it seems) to the Commission. No further details of what these commitments may have been were given at the time, but

The addition of Spicers’ continental operations – France, Benelux, Germany, Italy and Spain – will bring Unipapel’s annual sales to around 11.3 billion, cementing its position as the leading office and IT supplies wholesaler in Europe. About two-thirds of those sales will come from IT hardware and accessories (following the acquisition of Adimpo in 2009) and the remaining third from traditional office supplies. www.opi.net/EuropeanAnnualReview2012

Adimpo acquisition bearing fruit The acquisition of Spicers is Unipapel’s second major acquisition in the space of two years. In 2009 it paid 135 million for struggling EOS distributor Adimpo. Since then Unipapel has performed something of a turnaround at the distributor as highlighted by its most recent quarterly results report in November. Top-line sales from the Adimpo subsidiary were over 1550 million and increased by 6.5% in the three-month period to the end of October. Adimpo reported double-digit sales growth in Portugal (28.6%), Italy (24%) and France (19%) while sales in Germany were up 9.7%. 57% of Adimpo’s sales now come from outside the domestic Spanish market, and Unipapel said that it continues to win market share, notably in Germany, France and Italy.

Question marks

There are, of course, a number of remaining unanswered questions concerning several aspects of the acquisition. These include the raison d’être of the European purchasing and marketing team and the role of Group CEO Peter Damman who was brought in last year to drive through improvements in the Spicers business.

has been growing at a healthy clip in France (its 2010 sales were 1180 million) and that adding the French Spicers business – which he described as the “jewel in the crown” of Spicers’ European operations – would make a very powerful combination. The Unipapel CEO committed to maintaining the recent strategy of expanding the Spicers Calipage brand, which is currently being rolled out in Germany. The only market where this may be affected is Spain, where the company already operates a similar franchise arrangement with its Unipapel and UniStar brands. Therefore it may make sense to bring these businesses – Calipage has around 180 dealers in Spain – into the same fold. Álvarez-Miranda stressed that Unipapel is interested in Spicers as a package. This includes current management and staff and its distribution infrastructure. “The story is one of growth,” he told OPI.

Sourcing products for its own 5-Star private brand could also be an issue; Unipapel is known to want to use Spicers as an outlet for its own Spanish production facilities which include products such as envelopes and notebooks. It will be interesting to see to what extent the UK & Ireland and continental Europe businesses maintain links going forward.

Triple win

Nevertheless, it was certainly a transaction that suited the three parties involved. DS Smith managed to offload a non-core business that will allow it to focus on its main recycled packaging business, perhaps for a higher price than it had previously expected. Unipapel certainly doesn’t believe that it has paid over the odds. The price it paid for the continental operations represents an EBITDA multiple of just 5.4, while it sold the UK and Ireland business for an EBITDA multiple of 17. Clearly, it will be able to achieve synergies in its key markets. For Better Capital, it has picked up a £350 million business for just over £30 million. On paper, its assets are probably worth more than that and, on the operational side, Alan Ball and his team have done a good job over the last year to improve profitability.

How significant is Paperworld in today’s choppy economic climate? OPI poses the question to organiser Messe Frankfurt, and discovers the details about this year’s trade show

ou may well be reading this in the halls of the Messe Frankfurt, as the leading office products and stationery trade fair Paperworld once again makes its return. This year brings with it the usual large variety of exhibitors and visitors from around the world. In some ways, it seems we are in limbo from last year. The question once again is: is such a large trade fair still relevant in today’s economically unpredictable and financially challenged office products environment? And how has the shifting global marketplace affected the status of Paperworld and its loyal exhibitors? According to Messe Frankfurt, everything is running smoothly in the lead up to its “most important trade fair”. At a recent press conference held in London, UK, Messe Frankfurt emphasised the success of last year’s show and what to expect from Paperworld 2012. Among the topics discussed were the economic trouble in Europe and how Paperworld can help struggling OP companies.

Director Michael Reichhold believes that now more than ever what helps the trade fair stand above the competition is its international status. 80% of last year’s exhibitors and over 60% of visitors hailed from outside Germany, prompting Reichhold to say that Paperworld Frankfurt is the “most international fair in Messe Frankfurt’s portfolio”. Lorenz is also keen to draw attention to the international status of the fair. “Our aim for 2012 is to capitalise on the extremely positive development we’ve seen in terms of international visitors,” she explains. “We expect this trend to continue and more visitors to come to Frankfurt from outside Germany.” To back this up, Messe Frankfurt always conducts market research surrounding its respective fairs in order to report back to exhibitors. The organiser claims that

The centre of the world

Messe Frankfurt believes that Paperworld allows exhibitors to target new clients from a range of different markets. As well as representatives from many of the industry’s largest companies – though there are notable absences – the majority of visitors are from SMBs, who are perhaps more open to new ideas. In terms of numbers through the door, the figures from last year were impressive. A total of 1,858 exhibitors from 70 countries were at the show, alongside over 51,000 visitors – beating the 2010 total of 45,500 visitors. And, according to Messe Frankfurt VP Ruth Lorenz, figures this year will be on the same level. “We anticipate the figures for Paperworld 2012 to be on par with those of last year’s event,” she says. www.opi.net/EuropeanAnnualReview2012

76% of exhibitors were “satisfied” to “extremely satisfied” with proceedings last year. A number of loyal leading brands will be in attendance once again in 2012 such as Faber-Castell, Durable, edding, Trodat and Soporcel. Fellowes also recently confirmed its attendance at the event in 2012. The company, which missed the last two Paperworld shows in Frankfurt, will be exhibiting a number of new products and support tools. “The Frankfurt show offers us a great opportunity to meet with our customers and partners, and to demonstrate our latest product developments and consumer marketing tools in an impressive and exciting environment,” said Michel Van Beek, Fellowes’ VP Europe. Double A’s Thirawit Leetavorn cites another benefit. In his words, as well as showing commitment while others cut back, “we also benefit from receiving feedback about the market situation, our customers’ business objectives and any outstanding issues”.

Old habits, new trends

Paperworld isn’t the only show that takes place during 28-31 January. Alongside the office supplies show, visitors can also attend the seasonal decorations show Christmasworld and arts and crafts show Creativeworld. Despite the seeming lack of similarities (especially with regard to Christmasworld), Reichhold stated at the press conference that there is a real synergy between all three fairs. According to the company’s figures, 24% of visitors visit all three events. On the exhibition floor, Paperworld 2012 is set to showcase both new and familiar elements. As usual, the event will take place throughout ten exhibition halls. Another returning feature will be the accessories remanufacturing industry segment Remanexpo, located in hall 4.0. The ‘Asia Design’ segment will also be returning after making its debut at last year’s show. Housed in hall 10.0, this will highlight designs from the Far East in paper, stationery and offices supplies. The Trend Show will once again be present in hall 6.1. This segment is designed to highlight all the upcoming trends in the OP and stationery sectors. Lorenz gave OPI an idea of what visitors can expect from the 2012 Trend Show. “Colour is the buzzword for the 2012 season,” she says. “Designers bora.herke. palmisano have analysed the latest tendencies in the fields of fashion, design and architecture and, on this basis, created the Paperworld Trends for 2012. ‘Bright’, ‘Dark’ and ‘Soft’ are the names given to the three

Messe Frankfurt is aiming this initiative at the book trade, a growing target group for the fair. Although Messe Frankfurt holds events worldwide, Paperworld Frankfurt is still regarded as its most important trade fair for a reason. The event continues to draw in huge crowds, including high-profile exhibitors from around the globe. As a result, more investment is ploughed into the fair to ensure its success. For example, this year free wireless internet access has been introduced throughout the exhibition grounds to keep visitors on site. There’s no doubt that the economic turmoil in Europe continues to put pressure on the office products sector, and the price of exhibiting at Paperworld seems even higher to some in this light. However, Messe Frankfurt contends that downplaying the relevance of such a large event could prove costly for both SMBs and larger corporations. “The exchange of information within the sector that Paperworld provides is extremely important and is key to finding new and successful channels for worldwide trade,” says Lorenz. “An international network is particularly important, especially in times of economic uncertainty and, under such circumstances, good use can also be made of niches.” It’s hard to argue with these claims. After all Paperworld lets visitors and exhibitors come together, learn and create new alliances. And in today’s unsteady economic environment these are exactly the types of opportunities that companies cannot afford to miss.

European Office Products Awards (EOPA) are in their 11th year, and have become firmly established as the ultimate accolade for OP businesses operating in Europe. Comprising 16 categories, the awards recognise resellers of all types as well as manufacturers, and are judged by experts from some of the industry’s most recognised businesses. This year the judges had a tougher job than normal to whittle down the wealth of entries to a series of shortlists. Europe has not been an easy environment in which to do business, and the key components of success are evolving. The judges were looking for resilience, for example, as well as growth. But many entries still had the power to wow the judges, with their displays of innovation, growth in many tough markets across Europe and solid business achievements. While it was hard to finalise the shortlists below due to an

As an ever-evolving subject, the judges found it a hard but exciting category to discuss, as there are many aspects that can make an initiative stand out.
